Terms of Use

These terms govern your use of the Yacht Charter Contract platform. They constitute a business-to-business agreement between Yacht Charter Contract and you, the professional charter broker or brokerage accessing the platform.

Please read these Terms carefully before using the platform. By registering for an account or using Yacht Charter Contract, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the platform.

Definitions

In these Terms, the following words and expressions have the meanings set out below unless the context requires otherwise.

Platform
means the Yacht Charter Contract website, web application, and associated services, including all features, tools, and content made available at yachtchartercontract.com and any subdomains thereof.
User
means any individual or entity that registers for and accesses the Platform, including where the context requires, "you" and "your".
Broker
means a professional charter broker or brokerage firm that uses the Platform to generate, manage, review, and execute charter agreements on behalf of their clients in the course of a commercial brokerage business.
Agreement
means a specific charter agreement template selected from the Platform's template library by a User.
Template
means a pre-drafted charter agreement document made available through the Platform for selection and customisation by Users, including the eight purpose-built agreements comprising the Global Charter Agreement, Turkish Gulet Charter Agreement, Croatian Gulet Charter Agreement, Greek Charter Agreement, Caribbean All-Inclusive Charter Agreement, Asia-Pacific All-Inclusive Charter Agreement, Tax-Optimised Service Charter Agreement, and Self-Skippered Bareboat Charter Agreement.
Generated Contract
means a completed, serial-numbered charter agreement document produced by the Platform from a Template following the input of User-supplied data, as downloaded or transmitted by the User.
Subscription
means the paid access arrangement under which a User is entitled to access the Platform's features, Template library, and contract generation functionality beyond the free first Contract.
Content
means all information, data, text, and materials submitted by a User to the Platform, including without limitation party details, vessel information, charter particulars, and financial terms entered during contract generation.
Terms
means these Terms of Use, as amended from time to time in accordance with section 13.

About the Platform

2.1
Yacht Charter Contract is a contract generation and document management platform that enables professional charter brokers to select, populate, generate, review, and execute charter agreements. All eight Templates are original, purpose-built works designed for the specific markets they serve.
2.2
The Platform is not a travel organiser, booking agent, charter broker, or intermediary in any charter transaction. It does not introduce charterers to owners, facilitate the booking of charter vessels, hold client monies, negotiate charter terms, or act as a party to any charter agreement generated through the Platform.
2.3
The Platform has no role in and accepts no liability for:
  • (a)the performance, quality, safety, or outcome of any charter conducted under a Generated Contract;
  • (b)disputes between the parties to a charter agreement;
  • (c)the accuracy of information entered by Users during contract generation;
  • (d)the conduct, creditworthiness, or regulatory compliance of any owner, charterer, operator, or other party named in a Generated Contract.
2.4
The relationship between the Platform and the User is solely that of a software service provider and subscriber. The Platform is not, and shall not be treated as, a party to any charter transaction arising from a Generated Contract.
3.1
The Platform provides professional charter agreement Templates as a contract generation tool. It does not provide legal advice, legal services, or legal opinions of any kind.
3.2
The use of any Template or Generated Contract does not create a solicitor-client, attorney-client, or any other advisory relationship between Yacht Charter Contract and any User or any party named in a Generated Contract. No communication from the Platform or its representatives constitutes legal advice.
3.3
Users are solely responsible for ensuring that:
  • (a)the Template selected is appropriate for their specific charter transaction, vessel type, cruising area, and the jurisdictions involved;
  • (b)all terms entered during contract generation are accurate, complete, and appropriate;
  • (c)the Generated Contract as a whole satisfies the requirements of the applicable legal and regulatory framework for their transaction.
3.4
The Platform does not guarantee the legal enforceability of any Generated Contract in any jurisdiction. Enforceability depends on the applicable law of the jurisdiction in which the contract is to be performed or enforced, the specific terms agreed by the parties, and the regulatory requirements of the markets involved. Users should seek independent legal advice where enforceability is material to their transaction.
3.5
Nothing in these Terms or anywhere on the Platform constitutes legal advice, and nothing should be construed as such.

Account Registration and Eligibility

4.1
The Platform is available exclusively to professional charter brokers and brokerage firms. By registering for an account, you represent and warrant that you are a professional operating in the yacht charter industry in a commercial capacity, and that you are not registering for or using the Platform as a consumer seeking personal leisure charter arrangements.
4.2
Registration requires you to provide accurate, current, and complete information about yourself and your business, including your name, business name, contact details, and any other information requested during the registration process. You agree to maintain and promptly update this information to keep it accurate and complete at all times.
4.3
By completing the registration process and accepting these Terms, you agree to be bound by these Terms in their entirety. If you do not accept these Terms, you must not register for or use the Platform.
4.4
You are responsible for maintaining the confidentiality and security of your account login credentials. You must not share your credentials with any third party. You are responsible for all activity that occurs under your account, whether authorised by you or not. You must notify Yacht Charter Contract immediately upon becoming aware of any unauthorised access to or use of your account or credentials.
4.5
The Platform reserves the right to refuse registration or terminate the account of any person or entity that it reasonably believes does not meet the eligibility requirements set out in clause 4.1, or that has provided false or misleading information during registration.

Subscription and Payment

5.1
Subscription Tiers. The Platform offers three subscription tiers — Starter, Brokerage, and Fleet — each of which provides access to all eight charter agreement Templates and the full range of Platform features. The tiers differ by monthly contract generation volume only; no Template or feature is withheld at any tier. Current pricing for each tier is set out on the Pricing page.
5.2
Free Contract. New Users may generate, review, and electronically sign their first Contract on the Platform free of charge, without providing a payment method. To create further Contracts, the User must select a Subscription tier and provide a valid payment method through the Platform's payment processor, at which point charges apply to the payment method on file in accordance with the selected Subscription.
5.3
Billing and Renewal. Subscriptions are billed in advance on a monthly or annual basis, as selected by the User at the time of subscription. Monthly Subscriptions renew automatically on the same calendar date each month. Annual Subscriptions renew automatically on the same date each year. Renewal charges will be applied to the payment method registered to the account at the time of renewal. You are responsible for ensuring that valid payment details are maintained on your account.
5.4
Annual Plans and Rollover. Where a User subscribes to an annual plan, any unused contract generation allocations from a given calendar month roll over automatically and remain available for use at any time during the remainder of the current subscription year. Unused allocations expire permanently at the end of the subscription year and do not carry forward to any renewed or subsequent subscription period.
5.5
Cancellation. You may cancel your Subscription at any time through your account settings or by contacting us using the details in section 16. Cancellation takes effect at the end of the current billing period. You will retain access to the Platform and all previously generated contracts until the end of that billing period, after which access to contract generation will cease. Generated Contracts previously downloaded remain the User's own documents.
5.6
Refund Policy. Subscription fees are non-refundable, except where required by applicable law or where Yacht Charter Contract elects to issue a refund at its discretion in exceptional circumstances. If you believe you are entitled to a refund, please contact us using the details in section 16.
5.7
Price Changes. Yacht Charter Contract reserves the right to change Subscription pricing at any time. Where price changes affect active Subscriptions, at least 30 days' written notice will be given before the new pricing takes effect. Continued use of the Platform following a price change constitutes acceptance of the revised pricing.

Calculated Values Disclaimer

6.1
The Platform automatically calculates certain financial values from the data entered by the User during contract generation. These calculated values may include, without limitation: Additional Provisioning Allowance (APA) amounts calculated as a percentage of the charter fee; Value Added Tax or equivalent levies (including Turkish KDV, Croatian PDV, and Greek FPA) applied at the rate specified by the User; instalment amounts derived from the charter fee and specified payment schedule; and aggregate totals payable by the charterer.
6.2
All calculated values are provided as a convenience to assist Users in populating their charter agreements. They are displayed to the User for review and verification before contract generation. The User is required to confirm that all calculated values are correct before a Generated Contract is produced.
6.3
The User is solely responsible for verifying the accuracy of all calculated values before generating a contract. In particular:
  • (a)tax rates, levies, and applicable regulatory requirements change over time and vary by jurisdiction, and the Platform does not guarantee that the rates applied at any given time are current or applicable to the specific transaction;
  • (b)the calculated APA amount depends entirely on the charter fee and percentage entered by the User, and the Platform makes no representation as to the appropriateness of the APA percentage for any particular charter;
  • (c)instalment amounts are calculated mechanically from the inputs provided, and the User is responsible for ensuring that the payment schedule reflects the commercial agreement between the parties.
6.4
The Platform does not guarantee the accuracy of any calculated value. No reliance should be placed on calculated values for the purposes of tax filing, financial reporting, regulatory compliance, or any purpose other than the population of the charter agreement, without independent verification.

Intellectual Property

7.1
All Templates available on the Platform are original works created by Yacht Charter Contract and are the exclusive intellectual property of Yacht Charter Contract. The Templates are protected by copyright and other applicable intellectual property laws. All rights not expressly granted to Users in these Terms are reserved.
7.2
Subject to these Terms and the payment of the applicable Subscription fee (or use of the free first Contract), Yacht Charter Contract grants the User a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Templates solely for the purpose of generating charter agreements for bona fide charter transactions in which the User is acting as the professional charter broker.
7.3
Generated Contracts produced using a Template may be used freely by the User for the charter transaction for which they were generated, and may be shared with the parties to that transaction in the ordinary course of the brokerage. The User does not acquire any ownership right in the underlying Template by virtue of generating a contract from it.
7.4
You must not:
  • (a)reproduce, publish, distribute, or make available any Template to any third party other than as part of a Generated Contract relating to a specific charter transaction;
  • (b)reverse engineer, decompile, or attempt to extract the source text or clause architecture of any Template in a form separated from its Generated Contract context, or use the Template structure as the basis for creating derivative documents outside the Platform;
  • (c)use the Templates or Generated Contracts as the basis for creating competing contract generation products or services;
  • (d)remove, obscure, or alter any proprietary notices, serial numbers, or labels on the Templates or Generated Contracts.
7.5
The Platform's name, logo, trade marks, service marks, and brand identity are the exclusive property of Yacht Charter Contract. Nothing in these Terms grants any right to use them other than as strictly necessary to identify the Platform in connection with its ordinary use.

User Obligations

8.1
You agree to use the Platform only for lawful purposes and in strict accordance with these Terms.
8.2
In using the Platform, you agree to:
  • (a)provide accurate, complete, and current information in all fields during registration and contract generation, and to ensure that Generated Contracts reflect the genuine commercial agreement between the charter parties;
  • (b)use Generated Contracts only for genuine charter transactions in which you are acting as the professional charter broker;
  • (c)comply with all applicable laws and regulations in the jurisdictions in which you operate, including those governing the offer, sale, arrangement, and conduct of charter services, professional brokerage, financial services where applicable, and consumer protection;
  • (d)maintain appropriate professional indemnity insurance and any other insurance required for your brokerage activities in the markets in which you operate;
  • (e)comply with applicable anti-money laundering, know-your-customer, and sanctions screening obligations in relation to the parties with whom you deal, and not use the Platform in connection with any transaction involving a sanctioned party, vessel, or jurisdiction.
8.3
You must not:
  • (a)use the Platform to generate contracts for fictitious, fraudulent, or unlawful transactions;
  • (b)submit false or misleading information during registration, contract generation, or any other interaction with the Platform;
  • (c)attempt to gain unauthorised access to any part of the Platform or to any other User's account or data;
  • (d)use automated tools, bots, scraping scripts, or similar mechanisms to interact with the Platform in any manner not expressly authorised;
  • (e)use the Platform in any manner that could damage, disable, overburden, or impair its operation or interfere with any other User's use of the Platform.

Limitation of Liability

9.1
The Platform's total aggregate liability to you for all claims arising under or in connection with these Terms or your use of the Platform, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total Subscription fees paid by you to Yacht Charter Contract in the twelve (12) calendar months immediately preceding the event giving rise to the claim.
9.2
Subject to clause 9.4, Yacht Charter Contract shall not be liable for any:
  • (a)loss of profits, revenue, business, contracts, or anticipated savings;
  • (b)loss or corruption of data or information;
  • (c)loss of goodwill or reputation;
  • (d)indirect, consequential, special, exemplary, or punitive losses of any kind, even if Yacht Charter Contract has been advised of the possibility of such losses.
9.3
Without prejudice to the generality of clause 9.2, Yacht Charter Contract accepts no liability for any loss, damage, claim, cost, or expense arising from:
  • (a)disputes between the parties to a charter agreement, whether or not that agreement was generated using the Platform;
  • (b)the failure of any Generated Contract to be legally enforceable in any jurisdiction;
  • (c)regulatory non-compliance on the part of the User, any charter party, or any other person involved in a charter transaction;
  • (d)errors, omissions, or inaccuracies in Content entered by the User during contract generation;
  • (e)inaccuracies in calculated values arising from incorrect input data or changes in applicable tax rates, levies, or regulatory requirements;
  • (f)the failure of any owner, charterer, operator, or other party to perform their obligations under a Generated Contract;
  • (g)reliance on any Template, Generated Contract, or Platform content as a substitute for independent legal advice.
9.4
Nothing in these Terms excludes or limits liability for:
  • (a)death or personal injury caused by negligence;
  • (b)fraud or fraudulent misrepresentation; or
  • (c)any other liability that cannot lawfully be excluded or limited under applicable law.

No Identity Verification

10.1
The Platform does not independently assess, verify, or guarantee the identity of any party named in a Generated Contract. The names and details of owners, charterers, and other parties are entered solely by the User and are reproduced in the Generated Contract as provided.
10.2
The Platform does not verify the creditworthiness, financial position, solvency, or ability to meet financial obligations of any party named in a Generated Contract. No representation is made as to the financial reliability of any party.
10.3
The Platform does not verify the regulatory status, licensing, professional standing, or charter operator certification of any owner, operator, or other party named in a Generated Contract, save for the registration eligibility requirements applicable to Users as set out in section 4.
10.4
Any know-your-customer (KYC), anti-money laundering (AML), and sanctions screening checks required by applicable law or professional obligation in connection with a charter transaction are the sole responsibility of the User and the relevant charter parties. The inclusion of a KYC and sanctions compliance architecture within certain Templates does not constitute verification by the Platform or a representation that any such checks have been conducted.

Data Protection

11.1
The Platform processes personal data in connection with the provision of its services. Full details of what data is collected, the purposes for which it is used, the legal basis for each processing activity, data retention periods, and Users' rights as data subjects are set out in the Privacy Policy, which forms part of the Platform's legal framework and should be read alongside these Terms.
11.2
Yacht Charter Contract is committed to compliance with the UK General Data Protection Regulation (UK GDPR) as retained in domestic law by the Data Protection Act 2018, and, where applicable to Users or data subjects within the European Economic Area, the EU General Data Protection Regulation (EU GDPR / Regulation (EU) 2016/679).
11.3
For the purposes of data protection law:
  • (a)Yacht Charter Contract acts as a data controller in respect of personal data relating to registered Users, including account data, contact information, and Subscription data;
  • (b)Yacht Charter Contract acts as a data processor in respect of personal data relating to third parties — such as owners, charterers, crew, and other named parties — that is entered by Users during contract generation, and processes such data only on the User's instructions and in accordance with the agreed data processing terms.
11.4
Users are responsible for ensuring that they have a lawful basis for providing to the Platform any personal data relating to third parties, that they have given appropriate privacy notices to those third parties where required, and that they comply with their own data protection obligations as data controllers in respect of charter party data.

Consumer Protection Exclusion

12.1
The Platform is a business-to-business tool designed, developed, and offered exclusively for use by professional charter brokers and brokerage firms operating in a commercial capacity. It is not intended for, and is not appropriate for, use by consumers.
12.2
Consumer protection legislation — including, without limitation, the Consumer Rights Act 2015 (UK), consumer distance selling regulations, and statutory cooling-off or cancellation rights — does not apply to the agreement between Yacht Charter Contract and Users of this Platform, as that agreement is entered into in the course of a business on both sides. These Terms constitute a commercial agreement between two parties each acting in a business capacity.
12.3
If you are an individual acting as a charterer or prospective charterer seeking personal leisure charter arrangements, the Platform is not designed for your use and you must not attempt to use it. Charter agreements for your personal use should be obtained through a professional charter broker.

Modifications

13.1
Yacht Charter Contract may update, modify, or replace these Terms at any time. Changes to the Terms will be communicated to active subscribers by email to the address registered to the account, with at least 14 days' prior written notice before the revised Terms take effect, except where changes are required by applicable law or to address a security risk, in which case they may take effect immediately.
13.2
Your continued use of the Platform following the effective date of any revised Terms constitutes your acceptance of those revised Terms. If you do not accept the revised Terms, you must cease using the Platform and may cancel your Subscription without penalty before the revised Terms take effect. Your right to cancel without penalty in this circumstance does not affect your obligation to pay any fees already due.
13.3
Yacht Charter Contract may at any time modify, suspend, discontinue, or upgrade any feature or aspect of the Platform, or the Platform itself, with reasonable notice where practicable. Yacht Charter Contract will not be liable for any loss or inconvenience arising from such changes provided that the core functionality of contract generation and access to Generated Contracts is not materially diminished without reasonable notice.

Termination

14.1
Yacht Charter Contract may suspend or terminate your account and access to the Platform immediately, with or without prior notice, if:
  • (a)you breach any material provision of these Terms and, where the breach is capable of remedy, fail to remedy it within 14 days of written notice requiring you to do so;
  • (b)Yacht Charter Contract reasonably believes that your use of the Platform is or has been fraudulent, unlawful, or harmful to the Platform, other Users, or any third party;
  • (c)you have provided false or materially misleading information during registration or at any point during your use of the Platform;
  • (d)you use or have used the Platform in connection with a charter transaction that is prohibited by applicable law or sanctions regulations;
  • (e)you fail to pay any Subscription fees when due and such failure is not remedied within 7 days of written notice;
  • (f)you no longer meet the eligibility requirements set out in section 4.
14.2
You may terminate your account at any time by cancelling your Subscription in accordance with clause 5.5 and, if you also wish to delete your account and associated data, by submitting a deletion request to Yacht Charter Contract using the contact details in section 16.
14.3
On termination of your account for any reason, your right to access the Platform and generate new contracts ceases immediately. Generated Contracts previously downloaded to your systems remain your own documents. Yacht Charter Contract will retain and process data as set out in the Privacy Policy.
14.4
Provisions of these Terms that by their nature should survive termination shall continue in full force and effect following termination, including without limitation sections 3 (No Legal Advice), 7 (Intellectual Property), 9 (Limitation of Liability), 10 (No Identity Verification), 11 (Data Protection), and 15 (Governing Law).

Governing Law

15.1
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), are governed by and construed in accordance with the law of England and Wales.
15.2
Subject to clause 15.3, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
15.3
Nothing in this section prevents Yacht Charter Contract from seeking urgent or interim injunctive relief, or any other provisional or protective remedy, in any court of competent jurisdiction as it may consider appropriate in the circumstances.
